Please read these Terms of Service (“Terms”) carefully before using the FlashPermit platform. By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Definitions

"FlashPermit," "we," "us," or "our" means FlashPermit Inc., a Delaware corporation, operating the permit expediting platform available at app.flashpermit.com.

"Services" means all features, tools, and services provided by FlashPermit, including permit preparation assistance, COMcheck coordination, iPermits submission support, document management, AI-powered code checking tools, and related support.

"Platform" means the FlashPermit web application at app.flashpermit.com, the marketing website at flashpermit.com, and any associated tools and APIs.

"User," "you," or "your" means any individual or business entity that registers for or accesses the Platform.

"Contractor" means a licensed Texas HVAC or mechanical contractor holding a valid TACLA licence number, who registers to use the Services.

"Job" means a single commercial HVAC or mechanical permit request submitted through the Platform.

"AHJ" means the Authority Having Jurisdiction — the local government body responsible for reviewing and approving permit applications, including the City of Houston Development Services Department and Harris County Engineering Department.

2. Eligibility and Account Registration

2.1 Eligibility

The Services are intended exclusively for licensed Texas HVAC and mechanical contractors holding a valid TACLA (Texas Air Conditioning Contractors Licensing Act) licence. By registering, you represent and warrant that:

  • You hold a valid, current TACLA licence number;
  • You are authorised to enter into legally binding agreements on behalf of yourself or your company;
  • All information you provide during registration and in connection with Jobs is accurate, current, and complete;
  • You are at least 18 years of age.

2.2 Account Responsibility

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify FlashPermit immediately at hello@flashpermit.com if you suspect any unauthorised access to your account. FlashPermit is not liable for any loss or damage arising from your failure to maintain account security.

2.3 One Account Per Contractor

Each contractor or contracting company may maintain one account on the Platform. Creating duplicate accounts is prohibited and may result in suspension of all associated accounts.

3. Description of Services

3.1 What FlashPermit Does

FlashPermit provides commercial HVAC and mechanical permit expediting services for Houston, Texas, including Harris County and City of Houston jurisdictions. Our Services include:

  • Preparation and review of COMcheck mechanical compliance reports;
  • Submission of permit applications via the City of Houston iPermits portal or Harris County systems;
  • Document management, including collection and storage of job-related documents;
  • Coordination of DocuSign-based e-signatures for COMcheck and related documentation;
  • Job status tracking and notifications;
  • AI-powered Houston Code Checker tool for preliminary equipment compliance checks.

3.2 What FlashPermit Does Not Do

FlashPermit is a permit expediting and preparation service. We do not:

  • Provide licensed engineering services or act as a Professional Engineer (PE);
  • Provide legal advice or legal representation;
  • Guarantee permit approval or specific review timelines from the AHJ;
  • Conduct on-site inspections or field verification;
  • Make final determinations of code compliance — that authority rests solely with the AHJ.

3.3 AI Code Checker Tool

The Houston Code Checker tool uses artificial intelligence to provide a preliminary assessment of whether HVAC equipment specifications may meet Houston 2021 IECC minimum efficiency requirements. You acknowledge and agree that:

  • Code Checker results are informational estimates only and are not a formal compliance determination;
  • The AHJ has final and exclusive authority over permit approval and code compliance decisions;
  • Results depend on the quality and accuracy of information or images you provide;
  • FlashPermit makes no warranty that Code Checker results will be accepted by the AHJ or any third party;
  • You should not rely solely on Code Checker results when making purchasing or project decisions.

4. Jobs, Fees, and Payment

4.1 Job Submission

When you submit a Job through the Platform, you agree to provide accurate and complete information about the scope of work, equipment, property address, property owner, and your TACLA licence details. FlashPermit's ability to provide Services depends on the accuracy of the information you submit. You are solely responsible for any errors, delays, or rejections arising from inaccurate or incomplete information.

4.2 Flat Fees

FlashPermit charges flat fees per Job as published on the Platform at the time of submission. Current fees are:

  • Like-for-Like RTU Swap (COMcheck included): $175
  • Standard Commercial Permit: $275
  • Engineering or Curb Adapter Projects: $450 and above (quoted per Job)

Fees are subject to change at any time. The fee applicable to your Job is the fee displayed at the time of submission.

4.3 Payment Terms

Payment is required in full before FlashPermit begins permit preparation and submission work. Payment is processed via Stripe. By submitting payment, you authorise FlashPermit to charge the stated fee to your selected payment method.

4.4 Refund Policy

Fees are non-refundable once FlashPermit has commenced work on your Job, which includes beginning COMcheck preparation, document review, or any AHJ communication. If you wish to cancel a Job before work has commenced, please contact hello@flashpermit.com within 24 hours of submission. Cancellation requests received after work has commenced will not be eligible for a refund.

Note: Third-party fees charged by the AHJ, such as permit fees, are separate and not included in FlashPermit's flat fee. These fees are paid directly to the relevant jurisdiction.

5. No Guarantee of Permit Approval

FlashPermit will use commercially reasonable efforts to prepare accurate and compliant permit applications on your behalf. However, FlashPermit makes no guarantee, representation, or warranty that:

  • Any permit application will be approved by the AHJ;
  • A permit will be issued within any specific timeframe;
  • The AHJ will not request revisions, additional documentation, or reject an application for any reason;
  • Turnaround times stated on the Platform (including the 48-hour target for like-for-like RTU swaps) will be met in all circumstances.

Permit approval decisions are made exclusively by the AHJ and are outside FlashPermit's control. Delays caused by the AHJ, missing or inaccurate information provided by you, equipment changes, or changes in AHJ requirements do not entitle you to a refund.

6. User Responsibilities

6.1 Accuracy of Information

You are responsible for the accuracy, completeness, and legality of all information, documents, and materials you provide to FlashPermit. This includes equipment specifications, AHRI certificates, property details, and TACLA licence information. You warrant that all information provided is truthful and does not infringe any third-party rights.

6.2 Licence Compliance

You are responsible for ensuring that all work performed in connection with Jobs submitted through the Platform is carried out in compliance with applicable Texas state law, local codes, and all requirements of your TACLA licence. FlashPermit does not supervise or monitor the physical work performed on any project.

6.3 Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations;
  • Submit false, misleading, or fraudulent information in connection with any Job;
  • Attempt to reverse engineer, decompile, or derive source code from the Platform;
  • Use automated tools, bots, or scrapers to access or extract data from the Platform;
  • Share your account credentials with third parties;
  • Interfere with the operation of the Platform or its infrastructure;
  • Use the Platform to develop a competing service.

7. Intellectual Property

All content, features, tools, code, branding, and materials on the Platform, including the Houston Code Checker tool and all associated AI models, are the exclusive property of FlashPermit Inc. and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for your own business purposes in connection with the Services. No other rights are granted.

Documents you upload to the Platform (such as AHRI certificates and equipment data) remain your property. By uploading them, you grant FlashPermit a limited licence to use them solely for the purpose of providing the Services.

8. Data and Privacy

Your use of the Platform is subject to FlashPermit's Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, storage, and use of your data as described in the Privacy Policy.

9. Third-Party Services

The Platform integrates with third-party services including Stripe (payments), Supabase (data storage), Resend (email), DocuSign (e-signatures), and Anthropic (AI processing). Your use of these services is subject to their respective terms and privacy policies. FlashPermit is not responsible for the availability, accuracy, or conduct of any third-party service.

10. Limitation of Liability

10.1 Disclaimer of Warranties

The platform and services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. FlashPermit does not warrant that the platform will be uninterrupted, error-free, or secure.

10.2 Limitation of Damages

To the maximum extent permitted by applicable law, FlashPermit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of data, or project delays, arising out of or in connection with your use of the platform or services, even if FlashPermit has been advised of the possibility of such damages.

10.3 Cap on Liability

In no event shall FlashPermit's total liability to you for all claims arising out of or relating to these Terms or the Services exceed the total fees paid by you to FlashPermit in the three (3) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless FlashPermit Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your violation of these Terms;
  • Your submission of inaccurate, false, or misleading information;
  • Your breach of any applicable law or regulation, including TACLA requirements;
  • Any third-party claim arising from your use of the Services.

12. Termination and Suspension

FlashPermit reserves the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, provided false information, or engaged in conduct harmful to other users or the Platform. Upon termination, your right to access the Platform ceases immediately. Any outstanding Jobs in progress at the time of termination will be handled at FlashPermit's discretion.

You may close your account at any time by contacting hello@flashpermit.com. Closing your account does not entitle you to a refund of any fees paid.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Given that FlashPermit's services are delivered in Texas and its customers operate in Texas, Texas law provides the most appropriate legal framework.

13.2 Informal Resolution

Before initiating any formal dispute, you agree to contact FlashPermit at hello@flashpermit.com and attempt to resolve the matter informally. FlashPermit will make reasonable efforts to respond within 10 business days.

13.3 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration administered in accordance with the American Arbitration Association (AAA) Commercial Arbitration Rules. Arbitration shall take place in Harris County, Texas. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

13.4 Class Action Waiver

You agree that all disputes will be resolved on an individual basis. You waive any right to bring or participate in any class, collective, or representative action against FlashPermit.

13.5 Opt-Out

You may opt out of the arbitration agreement within 30 days of first accepting these Terms by sending written notice to: FlashPermit Inc., c/o 131 Continental Dr Suite 305, Newark, DE 19713, including your name, email address, and a clear statement that you wish to opt out of arbitration.

14. Changes to These Terms

FlashPermit reserves the right to modify these Terms at any time. If we make material changes, we will notify you by email at the address associated with your account at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform and close your account.

15. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and FlashPermit regarding your use of the Platform and supersede all prior agreements.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver: FlashPermit's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms without FlashPermit's prior written consent. FlashPermit may assign its rights and obligations without restriction.
